Terms of Service

Version 2026-10-22.2 · last updated October 22, 2026

The short version:

  • Every takeoff is automated and can be wrong. You check every quantity against the plans before you rely on it.
  • CivilQuick is provided as is, with no warranty, and is not liable for losses from takeoff errors, such as a low bid or extra cost on a project. Its total liability is capped at the fees you paid in the last 12 months.
  • You hold CivilQuick harmless for your bids, projects and the takeoffs you use or share.

1. These terms

These Terms of Service are an agreement between you and CivilQuick LLC ("CivilQuick", "we", "us") for the use of CivilQuick Takeoff, the website at civilquick.com and everything made with it (the "Service"). By creating an account, joining one, or using the Service, you agree to these terms.

If you accept for a company or other organization, you confirm you have the authority to bind it, and "you" means both you and that organization. Each person who uses the account also accepts these terms for themselves.

2. What CivilQuick is, and is not

CivilQuick is software that reads construction plans and other files you upload and produces an estimate of quantities (a "takeoff"), along with tools to review, edit, export and share it. A takeoff is produced automatically, by software, from drawings it cannot fully understand.

A takeoff is a starting point, not a verified quantity. It can be wrong, incomplete or duplicated. It can misread a symbol, a line type, a scale, a callout, a legend or a match line, miss items, count items twice, include items it should not, or apply the wrong unit. Plans that are scanned, flattened, revised or drawn in an unusual way make errors more likely. Bid tabs, engineer's estimates and other lists you check against can be wrong too.

CivilQuick does not provide engineering, surveying, estimating or other professional services, and nothing in the Service is professional advice. CivilQuick is not a party to your bids, contracts or projects.

3. You must review and verify every takeoff

You agree that:

  • You will review and verify every quantity against the plans, specifications, addenda and other contract documents before you rely on it for any purpose, including a bid, a price, a purchase, a subcontract, a schedule or construction.
  • You, and not CivilQuick, are solely responsible for your bids, prices, quantities, contracts, purchases and work, and for every decision you make using the Service, whether or not you checked the takeoff.
  • Your users are qualified to review takeoffs, and anything you share or export from the Service is reviewed by you before others rely on it.

4. No warranty

The Service and every takeoff, quantity, export and other output are provided "as is" and "as available", with all faults. To the fullest extent the law allows, CivilQuick disclaims all warranties, express, implied or statutory, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title and non-infringement, and any warranty arising from a course of dealing or usage of trade. CivilQuick does not warrant that any takeoff is accurate or complete, that the Service will be uninterrupted or error-free, or that errors will be found or fixed.

5. Limitation of liability

To the fullest extent the law allows, CivilQuick, its owners, officers, employees, contractors and suppliers will not be liable for any loss or damage arising from or related to a takeoff, a quantity or any other output of the Service, or to your reliance on it, including a bid that is too low or too high, a lost bid or contract, cost overruns, extra materials or labor, delays, liquidated damages, back charges, claims by owners, general contractors, subcontractors or suppliers, or lost profits, revenue, savings, data or goodwill.

To the fullest extent the law allows, CivilQuick will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, however caused and under any theory of liability, even if told they were possible. CivilQuick's total liability for all claims arising from or related to the Service or these terms will not exceed the fees you paid CivilQuick for the Service in the twelve (12) months before the event giving rise to the claim, or one hundred U.S. dollars (US$100) if you paid none.

These limits are an essential part of the bargain: the Service is priced on the basis that you check every takeoff and carry the risk of your own bids. Some places do not allow certain limits, so some of these may not apply to you, but they apply to the fullest extent allowed.

6. You hold CivilQuick harmless

You agree to defend, indemnify and hold harmless CivilQuick and its owners, officers, employees, contractors and suppliers from and against all claims, demands, suits, losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising from or related to: your use of the Service; your bids, contracts, projects and work; your reliance, or anyone's reliance, on a takeoff or other output you made, exported or shared with the Service; files you upload; your breach of these terms; or your violation of any law or anyone's rights.

You release CivilQuick from any claim that a takeoff was wrong, incomplete or misleading. We will tell you about a claim we ask you to defend, and you will not settle one that admits fault for CivilQuick or binds it without our written consent.

7. Takeoffs you share with subcontractors and others

The Service lets you send read-only takeoff links and exports to subcontractors, suppliers and others who do not have a CivilQuick account. You are responsible for what you share and for telling the people you share with that it must be checked. Each shared page says so.

If you are viewing a takeoff someone shared with you: it is reference information from that company's automated takeoff, provided as is, with no warranty of any kind. It can be wrong, incomplete or duplicated, and it may not match the current plans. Check every quantity against the plans, specifications and contract documents before you price, order or build from it. CivilQuick makes no promise that it is accurate or complete and is not liable to you for any loss from relying on it. Your dealings with the company that shared it are between you and that company. By using the shared page or its exports, you agree to this section and to sections 4, 5 and 13.

8. Your plans and data

You keep all rights in the plans, files, takeoffs, edits, lists and other content you put into the Service ("your content"). You confirm you have the right to upload it and to have CivilQuick process it, and that doing so does not break any contract, confidentiality duty, controlled-information marking or law.

You give CivilQuick permission to store, copy, process and display your content only to provide, secure, support and maintain the Service for you, including making takeoffs, exports and the share links you create. We do not sell your content or show it to other customers. Our staff may look at it to support you or to fix a problem you report.

Using your content to improve the takeoff engine is separate and off unless an admin of your account turns it on from the account page. What it covers is below, and the wording on the account page, with its version, is what an admin agrees to there.

Help make CivilQuick more accurate (opt-in, version 2026-10-22)

  • What is used: the plan sets your team uploads, the takeoffs CivilQuick makes from them, the corrections and manual takeoff your team adds, and the bid or pay item lists you check against them. Unit prices and amounts on your lists are removed first and never used.
  • What for: only to test and improve CivilQuick's takeoff engine, for example by re-running your corrected takeoffs after an engine change to measure whether it got more accurate. Corrections are checked against the plans by our team before they change the engine, and a bid list is never treated as the right answer.
  • Who sees it: CivilQuick staff working on the engine, on CivilQuick's own computers and cloud services. It is never shown to, shared with or sold to other customers or anyone else.
  • What you get: a more accurate engine, for you and every CivilQuick customer (how symbols, hatches and callouts are read). Opting in could help the accuracy of your next takeoff in under 24 hours. Other customers never get your plans, quantities, prices, company or project details.
  • Turn it off at any time on the account page. From then on nothing new is used, and the copies held for engine work are deleted.

You can download your takeoffs at any time while your account is active. After an account ends we may delete its content.

9. Accounts and licenses

Each license is for one named person. Keep your password private and tell us if you think someone else has used it. Account admins control who joins, who holds a license and who else can manage the account, and are responsible for activity in the account. You are responsible for keeping the details on your account accurate.

10. Fees

Paid plans are billed as shown when you subscribe, per license unless stated otherwise. Fees are not refundable except where the law requires. We may change prices for a future billing period with at least 30 days' notice. Free trials and features marked as in development may change or end.

11. Acceptable use

Do not: upload files you have no right to share; use the Service to break the law or anyone's rights; try to get into accounts or data that are not yours; interfere with or overload the Service; copy, resell or reverse engineer it except where the law allows; or use it to build a competing product.

12. Changes, suspension and ending

The Service is under active development and will change. We may add, change or remove features. We may suspend or end access for a breach of these terms, non-payment, or to protect the Service or others. You can stop using the Service and close your account at any time. Sections 3 to 8 and 13 continue after an account ends.

We may update these terms. When we do, we will post the new version here with its date and ask you to accept it before you continue using the Service.

13. Governing law and general terms

These terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws rules. Any dispute arising from or related to these terms or the Service will be brought only in the state or federal courts located in Virginia, and you and CivilQuick consent to their jurisdiction.

These terms, and the wording you agree to in the Service (such as the engine tuning opt-in), are the whole agreement about the Service. If any part is found unenforceable, it will be limited to the minimum extent needed and the rest stays in effect. Not enforcing a part is not a waiver of it. You may not transfer these terms without our consent; we may transfer them with the business. Neither party is liable for delays caused by events beyond its reasonable control.
